- Rationale = On April 17, 2024 Nature's Miracle Holding Inc. entered into a term sheet to merge with and acquire 100% of publicly-traded Tier 1 CRB "Agrify Corporation". On May 16, 2024 both companies signed a definitive merger agreement. However, on May 20, 2024 both companies announced they have mutually agreed to terminate this agreement citing unfavorable market conditions. James Li, Chairman and CEO of Nature's Miracle Holding Inc. stated, "Based on the current unfavorable market conditions, we've determined this is in the best interest of our shareholders and the long-term value of our business. At Nature's Miracle, we will continue to focus on our core indoor growing products including grow light, dehumidifier and container growing systems where we are seeing strong momentum. We extend our appreciation to the Agrify team for their cooperation." While Nature's Miracle sells growing products, there is no evidence to suggest that these are sold to the cannabis industry. Rather, growers of general produce use these products. As a result, Nature's Miracle no longer qualifies for inclusion.
